Terms & conditions
These terms apply to quotations, orders and supply of goods from THIMAXOPTO. Placing an order constitutes acceptance.

1. Quotations
Quotations are valid for 30 days unless stated otherwise and are issued in USD. Prices are ex-works Shenzhen unless a different Incoterm is stated in writing. Quotations are subject to reconfirmation where component, raw material or freight costs move materially before an order is placed.
2. Orders
An order is accepted when we issue a written order confirmation. Specification, quantity, unit price, lead time, packing and shipment terms are those stated in that confirmation. Amendments requested after confirmation may affect price and lead time.
3. Minimum order quantity
The standard minimum is 50 pcs per SKU. Sample orders from 5 pcs are accepted; sample product value is credited against a subsequent order at MOQ or above on the same SKU, on request.
4. Payment
Tier 1 and 2 orders are payable in full before dispatch. From tier 3, standard terms are 30% deposit on order with the balance payable against the bill of lading. Card and PayPal payments are accepted for small batches and are subject to the relevant provider’s fees and chargeback rules. Goods remain our property until paid in full.
5. Production & lead time
Lead times run from the later of order confirmation, receipt of deposit and approval of artwork or samples. Quoted lead times are estimates given in good faith; delays caused by force majeure, component shortage or carrier disruption will be notified promptly with a revised date.
6. Inspection & acceptance
Every order is inspected and functionally tested before shipment, and an inspection report is available on request. Buyer-nominated third-party inspection is welcomed when scheduled in advance. Claims for shortage or visible damage must be raised within 30 days of arrival with photographs and batch markings.
7. Warranty
Rechargeable products carry a 12-month warranty on battery and driver and a 24-month warranty on LED modules under normal use. Confirmed defective units are replaced in a following shipment or credited. The warranty excludes damage from misuse, unauthorised modification, incorrect voltage supply or improper storage.
8. Intellectual property
Buyer-supplied artwork, designs and tooling remain the buyer’s property. We will not manufacture or supply buyer-specific designs to third parties. Tools developed against buyer specification may be transferred to the buyer on request.
9. Liability
Our liability for any order is limited to the invoice value of the goods concerned. We are not liable for indirect or consequential loss, including loss of profit or goodwill. Nothing in these terms limits liability that cannot be limited by law.
10. Governing law
These terms are governed by the laws of the People’s Republic of China. The parties will attempt good-faith resolution of any dispute before commencing proceedings.
